References to Spinnaker may include its affiliates, subsidiaries, sponsored entities, investment vehicles, joint ventures and managed properties, as applicable. By accessing or using the Site, you acknowledge that you have read and agree to these Terms of Use. If you do not agree, you should not access or use the Site.

1. Informational Purpose

The Site provides a general introduction to Spinnaker and certain aspects of its real estate development, ownership, investment, management and related activities. The Site is not intended to be a comprehensive source of information. Content may include condensed summaries, historical information, preliminary plans, photographs, renderings, estimates, projections, and general descriptions, all of which are based on information that may change. Nothing on the Site constitutes a representation that any project, transaction, property, investment, service, development plan, tenant, financing arrangement, or other business activity will proceed or be completed as described.

2. No Offer or Solicitation

The Site is provided solely for general informational purposes. Nothing on the Site constitutes or should be construed as:

Spinnaker does not warrant or represent that:

• A property remains owned, operated, managed or controlled by Spinnaker
• Space, housing, financing or investment opportunities remain available

• Described tenants, amenities, features or uses will remain in place
• Measurements, dimensions, maps, photographs or property descriptions are complete or exact

Property-specific terms are governed exclusively by the applicable lease, purchase agreement, management agreement, development agreement or other definitive written agreement.

5. Accuracy and Changes

Spinnaker seeks to provide useful information but does not warrant that Site content is accurate, complete, current, reliable or free from error. Information may become outdated, and Spinnaker has no obligation to update any particular content. We may add, remove, revise or discontinue Site content, features or functionality at any time without notice. Typographical errors, technical errors and omissions may occur. Spinnaker reserves the right to correct them without liability.

6. No Professional or Fiduciary Relationship

Your access to or use of the Site does not create an advisory, brokerage, fiduciary, agency, partnership, joint-venture, employment, attorney-client or other professional relationship between you and Spinnaker. Submitting an inquiry or other information through the Site does not obligate Spinnaker to respond, provide services, pursue a transaction or enter into any relationship with you. The Site and its content, including text, photographs, graphics, renderings, plans, videos, designs, layouts, software, databases, logos, trade names, and other materials, are owned by or licensed to Spinnaker and are protected by applicable copyright, trademark, and other intellectual property laws. “Spinnaker,” “Spinnaker Real Estate Partners,” associated logos and other identifying marks are trademarks or service marks of Spinnaker or their respective owners. Subject to these Terms, Spinnaker grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for lawful, noncommercial or internal business purposes. No ownership or intellectual-property rights are transferred to you through your use of the Site. Any use beyond the limited permission granted here requires Spinnaker’s prior written consent.

The Site may contain links to, integrations with, or content from third-party websites and services. Links to the Site may also appear on third-party websites with or without Spinnaker’s knowledge. SPINNAKER DOES NOT WARRANT THAT:

• THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE OR ERROR-FREE
• DEFECTS OR ERRORS WILL BE CORRECTED

• THIRD-PARTY WEBSITES, SERVICES OR CONTENT
• LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITY, REVENUE, GOODWILL OR ANTICIPATED SAVINGS

This limitation applies regardless of whether the alleged liability arises in contract, tort, negligence, strict liability, statute or another legal theory, and regardless of whether Spinnaker was advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Spinnaker and its affiliates, owners, members, managers, directors, officers, employees, agents and service providers from claims, liabilities, damages, judgments, losses, costs and expenses, including reasonable attorneys’ fees, arising from or relating to:

• Your unlawful or unauthorized use of the Site
• Your violation of these Terms
• Your violation of another person’s rights
• Information or content you submit through the Site

Spinnaker reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with that defense.

15. Changes to These Terms

Spinnaker may revise these Terms periodically. Changes will be posted on the Site with an updated “Last Updated” date. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

16. Governing Law and Venue

These Terms and any dispute arising from or relating to the Site will be governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Subject to any applicable law to the contrary, any judicial proceeding relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Fairfield County, Connecticut. You consent to the personal jurisdiction and venue of those courts.

17. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

18. No Waiver

Spinnaker’s failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

19. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Spinnaker concerning your use of the Site. These Terms do not replace or modify any separate written agreement between you and Spinnaker. If a separate agreement conflicts with these Terms, the separate agreement will control with respect to its subject matter.
